I. CONDITIONS FOR GRANTING A LICENSE TO ESTABLISH A REPRESENTATIVE OFFICE IN VIETNAM

1) The foreign business entity must be established and registered in accordance with the laws of the country or territory participating in an international treaty to which Vietnam is a member, or recognized by the laws of these countries or territories.

2) The foreign business entity must have been operating for at least one year since its establishment or registration.

3) In cases where the business registration certificate or equivalent document of the foreign business entity specifies an operating period, that period must have at least one year remaining from the date of application submission.

4) The activities of the Representative Office must be consistent with Vietnam's commitments in international treaties to which Vietnam is a member.

II. DOCUMENTS REQUIRED FOR APPLYING FOR A REPRESENTATIVE OFFICE ESTABLISHMENT LICENSE IN VIETNAM

Clients need to prepare and provide the following documents:

1) Copy of the business registration certificate or equivalent document of the foreign business entity (consular legalization, Vietnamese translation, and notarization).

2) Audited financial statements for the most recent fiscal year (Vietnamese translation and notarization).

3) Letter from the foreign business entity appointing/designating the head of the representative office.

4) Copy of the passport (if a foreigner) or citizen identification card (if a Vietnamese citizen) of the head of the representative office (notarization).

5) Office lease agreement.

6) A copy of the document regarding the proposed location of the Representative Office.
