The company name consists of 2 parts, including the type of company and the proper name. In which, the proper name must not be duplicated or easily confused with names already registered by other businesses.

c) Type of company expected to be established

According to the Enterprise Law, customers can register one of the following types of enterprises: Single-member LLC, LLC with two or more members, private enterprise, Joint Stock Company and Partnership Company.

For a joint stock company

Shareholders must fully pay for the registered shares within 90 days from the date of issuance of the Enterprise Registration Certificate, unless the Company Charter or the share purchase registration contract stipulates a shorter period.

Question 6: After establishing a company, what if the capital contribution is not enough as registered?

Answer

The Enterprise Law requires members/owners/shareholders of LLCs with 2 or more members, LLCs with 1 member, and joint stock companies to contribute enough capital within 90 days from the date the company is granted a Certificate of Enterprise Registration.

In case the charter capital is not fully contributed within the above deadline, the company must register to adjust the charter capital with the business registration authority within 30 days from the last day of full capital contribution.

If the above deadline expires and the company still does not change the charter capital, it will be subject to administrative sanctions according to regulations.

NO

The company name is recognized throughout Vietnam and is unique. Therefore, to avoid confusion, you cannot name your company the same as a previously established and still operating company.
